1. Order Acceptance

1.1 All orders are subject to written confirmation via email or official purchase order (PO) acknowledgment.
1.2 TYHM reserves the right to revise pricing for orders affected by currency fluctuations, component shortages, or force majeure events.
1.3 Order modifications/cancellations require mutual written agreement; cancellation fees may apply for customized products.


2. Pricing & Payment

2.1 Currency: Prices are quoted in USD unless otherwise specified.
2.2 Payment Terms:

  • New Clients: 100% advance payment via T/T or LC.

  • Approved Credit Accounts: Net 30 days (subject to credit review).
    2.3 Late payments incur a 1.5% monthly late payment fee.


3. Delivery & Shipping

3.1 INCOTERMS: Default terms are FOB Shenzhen; alternative terms (CIF/DAP/DDP) must be specified in writing.
3.2 Lead Times:

  • Standard Products: 5-7 business days (in-stock items).

  • Customized PCB/PCBA: 15-30 business days (subject to design validation).
    3.3 Delays caused by customs clearance, strikes, or natural disasters are not considered breaches.


4. Inspection & Acceptance

4.1 Defects Notification:

  • Visible Defects: Report within 7 days of delivery.

  • Latent Defects: Report within 90 days with supporting test reports.
    4.2 Unreported defects after acceptance periods are deemed waived.


5. Returns & Replacements

5.1 Approved Returns Require:

  • RMA number issued by TYHM.

  • Original packaging and intact product labels.

  • Proof of defect (video/third-party lab report for performance issues).
    5.2 Non-compliant returns may be rejected or subject to a 15% restocking fee.


6. Intellectual Property

6.1 All technical documents, BOM designs, and firmware remain TYHM’s exclusive property.
6.2 Reverse engineering, unauthorized replication, or resale of proprietary solutions is strictly prohibited.


7. Liability Limitations

7.1 TYHM’s maximum liability shall not exceed 110% of the order value.
7.2 Excluded Damages:

  • Consequential losses (e.g., production downtime, loss of profits).

  • Misuse, unauthorized modifications, or environmental factors.


8. Compliance & Export Control

8.1 Clients are responsible for obtaining required import licenses and ensuring compliance with:

  • EAR (U.S. Export Administration Regulations).

  • EU Dual-Use Regulation.
    8.2 TYHM reserves the right to refuse orders involving restricted entities or end-uses.


9. Governing Law

9.1 Disputes shall be resolved under Hong Kong SAR law through arbitration at the Hong Kong International Arbitration Centre (HKIAC).
9.2 UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.


10. Policy Updates

10.1 Revised terms become effective 30 days after posting on www.TYHMSM.COM/terms.

Key Notes

  1. Risk Transfer:

    • FOB/CIF: Specific to maritime transport; risk transfers at shipment port.

    • DAP/DDP: For door-to-door delivery; risk delays until destination.

  2. Insurance Coverage:

    • CIF covers ICC Clause C (major accidents only); buyers should supplement with full coverage.

    • DAP/DDP insurance is seller’s option; must be clarified in contracts.

  3. Clearance Obligations:

    • EXW/FOB: Buyer handles import clearance; assess buyer’s capability in emerging markets.

    • DDP: Seller must have tax registration in the destination country to avoid legal risks.

Critical Controls

  • RMA number must be visible; handwritten/printed labels require company stamp.

  • Broken factory seals imply tampering; process terminated.

  • Customer must provide:

     ③ Third-party report (CNAS/ILAC-certified, bilingual).

⚠️ Reverse Logistics

  • Quality disputes: TYHM covers DHL/FedEx shipping costs.

  • Non-quality disputes: Customer prepays shipping and duties.
